Job Title: Assistant Corporate Counsel
Job Overview:
We are seeking a strategic and collaborative Assistant Corporate Counsel to support legal operations and compliance initiatives within a dynamic, fast-paced global organization. This hybrid, direct-hire position is based near King of Prussia, PA, and plays a critical role in shaping legal frameworks, driving business-aligned legal strategy, and supporting corporate governance and regulatory compliance.
Compensation:
• $150,000 – $190,000/year
• Eligible for performance-based bonus
Work Schedule:
• Monday to Friday, standard business hours
• Hybrid schedule: 3 days onsite, 2 days remote (flexible days after training)
Key Responsibilities of the Assistant Corporate Counsel:
• Support the creation and implementation of company policies, procedures, and compliance programs to meet legal and regulatory requirements
• Monitor legislative and regulatory changes and provide practical guidance to internal stakeholders
• Participate in corporate governance activities including board meeting preparation and maintaining corporate records for global subsidiaries
• Manage relationships with outside counsel and oversee litigation and dispute resolution as needed
• Negotiate and draft complex commercial agreements, ensuring alignment with business goals and legal standards
• Lead cross-functional legal initiatives and support business operations with practical, risk-informed legal solutions
• Contribute to the development of the legal department through mentoring, collaboration, and knowledge-sharing
• Partner with internal teams to embed legal insight into operations and client service activities
• Serve as a trusted advisor to senior leadership, contributing to organizational growth strategy and succession planning
Qualifications and Skills for the Assistant Corporate Counsel:
• Juris Doctor (JD) from an accredited law school
• Active bar membership in good standing in at least one U.S. state (required)
• 8+ years of legal experience, including commercial transactions and regulatory compliance
• Combination of law firm and in-house legal experience preferred
• Familiarity with data privacy regulations (e.g., GDPR, CCPA) and experience managing related compliance programs
• Prior experience advising or working within a global company strongly preferred
• Strong business acumen and the ability to convey complex legal topics in practical, business-focused terms
• Excellent communication and interpersonal skills with the ability to partner cross-functionally
• Self-starter with the ability to manage multiple high-stakes projects with minimal oversight
